Colombian Coal Company is offering for sale the Anthracite Coal described below in the quantity and for the price specified in the terms and conditions stated.
COMMODITY: Anthracite Coal
QUANTITY: 25.000 MT (+/- 10%) at seller’s option as trial shipment and from then onwards every 30-45 days similar size lots, based on a minimum 1 year contract, renewable on a yearly basis.
LOADING DATES: Max. 60 days after terms and conditions have been agreed upon the parties.
60 days is because of the Logistics of getting the Coal to the loading port. Therefore after signing SPA the Seller will, 30 Days before shipping send the Buyer a 2% PB.
At that time the Buyer will then present His L/C for the shipment.
BASE PRICE Ningbo (China) USD 287.00*/ MT CIF F.O.
DELIVERED: Price to be reviewed on a bi-monthly basis as per indexes /
formulas agreed between the parties
Ocean freight to be reviewed once dates are firm.
DELIVERY TERMS: CIF F.O. Ningbo Port. Discharge rate/terms to be mutually agreed but always as per carriers charter party clauses and conditions, no less than 8,000 MT/PWWD of 24 HRS SHINC. Mutual agreement on Lay-time.
PAYMENT TERMS: Shipments are to be paid by divisible, irrevocable, confirmed, assignable and at sight Documentary Letter of Credit (DLC) or Bank Guarantee established by Buyer, who shall bear all costs associated with the establishment and confirmation of the letter of credit or guarantee, and issued by a top ranking international bank. The DLC shall be established no later than seven (7) days from the exchange of signed counterparts of this sales agreement in a from satisfactory to Buyer.
The DLC shall be payable upon presentation of the bill of lading signed by the vessel’s Master or on his behalf by his authorized agent, Inspectorate’s certificate of quantity and Seller’s Commercial Invoice.

SAMPLING AND ANALYSYS: Inspection of quality, testing and analysis, draft survey to determine quantity, sampling and supervision of loading to be performed by a first class independent surveyor company appointed by mutual agreement (INSPECTORATE, SGS). Quality and quantity certificates issued at loading port by the independent surveyor appointed by the parties will be final and binding on both parties.
Price to be adjusted for variations in quality in accordance with formulas to be agreed by the parties.
The above terms and conditions are preliminary. Final terms and conditions will be negotiated as part of the Purchase and Sales Agreement “PSA”.
