Our, company agrees to sell and Buyer agrees to buy HMS 1 and 2 material
 in accordance with the terms and conditions hereinafter set.
CLAUSE 1: DEFINITIONS:
At this procedure, the following terms and meanings shall apply, unless otherwise defined:
a) Scrap: HMS 1 and 2 means the rule of "ISRI" in its natural state, as seen by Buyer.
b) Dollars and Cents U.S.: dollars and cents respectively mean in legal tender of the             United States of America.
c) Ton: 1000kgs indicates metric tons as defined in the "International System of Units."
d) Parties: means a party to this agreement or the two together.
e) Storage:  area where scrap is stored.
f) Delivery term: CIF
g) Cut: It means cutting the material, being the responsibility of Seller.

CLAUSE 3: SPECIFICATIONS
a) Dirt, dust and impurities are not more than 0.5% of total weight.
b) The goods are totally free of any type of radiation, bombs, arms and ammunition, mines, shells, cartridges, sealed containers, gas cylinders, explosives or explosive materials for use in any form, or otherwise can be used to that.

First Shipment within 30 days of receipt of L/C in Seller Bank.

CLAUSE 7: DELIVERY 
a) Seller must tell Buyer the name of the ship and its approximate time of arrival at the destination port.
b) Advice Delivery: Seller shall, upon completion of the load along with details, including tonnage, the invoice number and value, shipping list, BL number, travel date or any other information that is required or necessary.

CLAUSE 8: FORCE MAJEURE
If at any time during the term of this contract, either party cannot fulfill its entirety or in part, any obligation under this contract, in the event of force majeure, such as war, hostility, military operation of any character, civil commotion, quarantine restrictions, acts of Government, fires, floods, explosions, epidemics, strikes, earthquakes, embargoes, then the date of fulfillment of an obligation will be deferred for as long as such circumstances is in operation. 
If operation of such circumstances exceeds three months, either party shall be entitled to reject further execution of the contract, in which case neither party shall have any right to claim damages. The Party is unable to fulfill its obligations under this contract must (within 15 days of the occurrence of any of the reasons mentioned in this clause) shall inform the other of the existence of the circumstances preventing the performance of the contract. This fact must be proven by a certificate issued by the Chamber of Commerce or any other competent authority directly related to the reason given in the country of the seller or buyer. This will be sufficient proof of the existence of the above circumstances and their duration. The lack of availability of material and / or delay in transportation is no force majeure to sellers for not fulfilling its obligations under this contract.

CLAUSE 9: ARBITRATION
All disputes or differences arising between the parties out of or relating to the interpretation, underwriting, meaning and application or effect of this contract or the breach thereof shall be submitted to the attention of the Arbitration Center of the Chamber of Commerce of Brazil.

CLAUSE 10: MODIFICATION OF CONTRACT
Any amendment or modification of this contract shall be in writing and must be confirmed by the contracting parties.
CLAUSE 11: INCOTERMS AND GOVERNING LAWS
Commercial terms of this contract are subject to the laws of Brazil. This contract shall be governed and construed in accordance with Brazilian law.

STANDARD BUYER AND SELLER PROCEDURES

1. LOI (Letter of Intent) request for FCO from Buyer/agent with full mineral contract specification,

2. FCO issued to Buyer along with contract specification,

3. Buyer returns FCO fully signed and chopped as agreement to FCO within the time scale given in our FCO.

4. Seller will issue draft contract, the contract is to be agreed, signed and sealed within 5 days.

5. The buyer must issue their REAL draft of DLC at the same time they return the signed contract.

6. On completion of signed and sealed contract the Buyer and Seller will agree together with their banks the final paperwork for method of payment instrument pre-agreed within the contract

7. Contract to be electronically signed and chopped via email or by physically signed and chopped at Jakarta/Banjarmasin

8. On completion of signed, chopped, sealed contract that includes a NCNDA clause Seller will provide any further paperwork proving Quality of the mineral to be sold and ownership of the mineral will provided to the buyer including site mine location etc.

9. Site visit to mine if buyer requires (sample, and testing at the same time if required by buyer) prior to opening financial payment instrument as final due diligence procedure.

10. On completion of a successful mine visit, the buyer will issue a non-operational payment instrument to the seller, the payment instrument should contain a clause within it stating it becomes fully operational on placement of seller operational BPG (Bank Performance Guarantee) if the LC is non-operational

11. The Seller within 1-5 days (depending on type of payment instrument issued) following the receipt at the Seller bank of non-operational payment instrument, will send to the Buyer (if applicable) the Performance Bond,

12. Commence of the contract.

Benefits of Garbage Gasificattion


The technology has been in use since the 1920’s but now is economically viable.

 
The system turns MSW (municipal solid waste), plastic, tires, medical waste, waste oil and lubricants, cardboard, paper, wood, animal waste, essentially anything with a carbon foot print into a gas that can be ignited in a steam turbine  to generate electricity or the gas can be refined into other products. The stack emissions are within the United States and European standards. The vitreous material that remains can be used in road construction and maintenance.

The system is scalable. Gasifing MSW, a 150-ton a day unit will produce net 2.4 Mega Watts of electricity on an ongoing basis. Every Mega watt will power 1000 + - US homes on an ongoing 24 hour basis.

The energy output of the system increases dramatically with the use of the higher BTU materials like tires and plastic. Depending on the electrical rate charged the system will pay for itself in about one and a half to three years depending on the feedstock and what the power company will pay. The system  has a twenty-year life span.

A recap of the Benefits of Garbage Gasification:

1.  Gasification will take anything with a carbon footprint.  This would include all municipal solid waste (MSW), medical waste, tires, plastic, oil, cardboard etc.

2.  Contaminated soil can also be re-claimed by going through the gasification process.

3. The resulting gases from the gasification process can be used to manufacture: electricity (the cheapest to produce), diesel, propane, natural gas, jet fuel etc.

4. Heavy metals are collected in the chamber and can be resold for industrial use..

5. Anything not gasified (metal, glass, etc.) is recycled.

6..  The remaining vitreous material, after gasification, is non-toxic.  It is approved for using in highway construction and road maintenance, thereby recycling the residue.

7.  Because of the complete gasification of the waste, there are no health and/or liability issues.

 8.  The by-product that comes out of the stack is CO-2 and the emissions fall well within U.S EPA and European  standards.

9.  The CO-2 could be recycled into algae ponds for additional revenue r possible new industries/investment opportunities, etc.

10.  Many new jobs could be created, both relating directly to operation of the gasifier, and additionally to the auxiliary businesses, services created by the new industry.

11.  Perhaps the biggest advantage to the gasification process is that it eliminates the garbage/waste forever – it is not just tucked out of sight, or buried in a big hole.  As the world’s population continues to grow, so does the waste/garbage problem.  Gasification is an excellent solution.
